These Terms and Conditions ("Terms") govern your use of any application, software, or services offered by Vagmafia Inc. ("Vagmafia", "we", "our", or "us") through vagmafia.com and all related subdomains (collectively, the "Vagmafia Platform" or "Services").

These Terms incorporate and are subject to any Order Form, Customer Account, Subscription Specific Terms, Data Processing Agreement (DPA), and other agreements that may apply between you and Vagmafia.

By accessing or using the Vagmafia Platform, you agree to be bound by these Terms, either as an individual or on behalf of the organization you represent. If you do not agree to these Terms, do not use the Services.

1. DEFINITIONS

Add-on: Additional paid services or features ordered or activated through your Customer Account.

Application: Any website, app, or interface where you allow customers to customize or order Vagmafia products.

Customer (or "you"): The individual or legal entity to which Vagmafia has granted access to the Vagmafia Platform.

Customer Account: The registered account created by you or your organization on the Vagmafia Platform.

End Customer: Any person who purchases products directly from you or via your Application.

Order: A request submitted through the Platform to produce and ship customized leather goods.

Products: Leather goods (including bags, jackets, packaging, accessories, and related items) manufactured and distributed by Vagmafia.

Services: The Vagmafia Platform, product fulfillment, shipping, support, and related digital tools.

Subscription Specific Terms: Terms governing a particular subscription plan or paid feature tier.

User Content: Logos, artwork, text, files, and other materials uploaded by you or your customers.

Vagmafia Platform: vagmafia.com and all associated subdomains (including app.vagmafia.com, api.vagmafia.com, moderators.vagmafia.com, and others).

2. CUSTOMER ACCOUNT

To access our Services, you must create a Customer Account. You agree to:

  • Provide accurate, complete, and current information during registration

  • Maintain the confidentiality of your login credentials

  • Be responsible for all activities under your account

We reserve the right to suspend or terminate your account if any information is inaccurate, incomplete, or misleading.

3. SUBSCRIPTION

Some Services or features may require a paid subscription. Subscription levels may vary in features, number of users, order limits, or integration capabilities.

  • Subscription terms (monthly, annual, or otherwise) are binding for their full duration

  • Subscriptions automatically renew unless cancelled at least 30 days before the renewal date

  • You may upgrade or downgrade your plan; downgrades take effect in the next billing cycle

  • We may modify or discontinue subscription tiers with at least 30 days' notice via email

If we determine that your usage exceeds the limits of your plan, we may automatically upgrade you to a higher tier or suspend your account.

4. LIMITED RIGHT TO USE

Subject to your compliance with these Terms, Vagmafia grants you a limited, revocable, non-exclusive, non-transferable license to use the Platform for legitimate business or personal purposes.

You agree not to:

  • Upload or request production of any content that infringes third-party intellectual property rights

  • Submit illegal, offensive, or inappropriate designs

  • Reverse-engineer or misuse the Vagmafia Platform

We reserve the right to reject any order or suspend accounts that violate these Terms or applicable law.

5. PRODUCTION, SHIPPING, AND DELIVERY

Vagmafia provides on-demand production and worldwide delivery of customized leather products.

  • Production and delivery times are estimates and may vary

  • We are not liable for delays caused by carriers, customs officials, or other factors beyond our control

  • You are responsible for ensuring the accuracy of shipping addresses and product specifications

  • Once an order is in production, cancellations or modifications may not be possible

6. SUPPORT SERVICES

Vagmafia offers support via email or live chat. Support scope and response times may depend on your subscription plan.

We may update our support channels or response standards at any time.

7. FEES AND PAYMENT TERMS

  • All applicable fees are displayed during checkout or in your subscription plan

  • Payments are processed through approved gateways (Stripe, PayPal, or others)

  • You authorize us to automatically charge your chosen payment method for recurring fees

  • Late or failed payments may result in suspension of your account

  • Prices are subject to change upon reasonable notice

8. RETURNS AND REFUNDS

Because all products are made-to-order, returns are generally not accepted unless items are defective or damaged in transit.

If you believe your order is faulty, you must contact Vagmafia within 14 days of delivery with photos and order details.

Vagmafia reserves the right to issue refunds or replacements at its sole discretion.

9. TERM AND TERMINATION

These Terms remain effective as long as you use our Services. We may suspend or terminate your account immediately if:

  • You breach these Terms

  • You fail to pay the due fees

  • We detect fraud, abuse, or illegal activity

Upon termination, you must cease all use of the Vagmafia Platform.

10. INTELLECTUAL PROPERTY

All intellectual property rights in the Vagmafia Platform, logos, trademarks, and software belong exclusively to Vagmafia Inc.

By uploading User Content, you represent that you own or have the right to use it and grant Vagmafia a non-exclusive, royalty-free license to use, reproduce, and distribute the content solely for fulfilling orders.

11. SECURITY

We implement industry-standard security measures to protect your data. However, no method of transmission or storage is completely secure. You are responsible for maintaining the confidentiality of your account credentials.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Vagmafia shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, business interruption, or data loss.

Our total liability under these Terms shall not exceed the total amount paid by you to Vagmafia in the twelve (12) months preceding the claim.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Vagmafia, its affiliates, and employees from any claims, damages, or losses arising from your use of the Services, breach of these Terms, or violation of third-party rights.

14. CONFIDENTIALITY

Each party agrees to protect confidential information obtained during the course of business and not disclose it to third parties without prior written consent.

15. PRIVACY AND DATA PROTECTION

Your use of the Services is also governed by the Vagmafia Privacy Policy and, where applicable, the Vagmafia Data Processing Agreement (DPA).

Vagmafia follows international best practices for data protection and privacy, including GDPR-aligned safeguards.

By using our Services, you consent to the processing of your data as described in our Privacy Policy.

16. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute shall be resolved through good-faith negotiations. If unresolved, disputes shall be brought exclusively before the state or federal courts of Delaware.

17. ENTIRE AGREEMENT

These Terms, together with any applicable Order Form, Subscription Specific Terms, and DPA, constitute the entire agreement between you and Vagmafia concerning your use of the Services.

If any provision is held invalid, the remaining provisions will remain in full force and effect.
